  • Represented Provention Bio, Inc. in a $60.0 million private investment in public equity (PIPE) transaction.
  • Represented the underwriters in the $500.0 million IPO for Ares Acquisition Corp. II, a special purpose acquisition company.
  • Represents Eversource Energy in its joint venture with Ørsted AS, the global leader in offshore wind power, to develop deepwater offshore wind farms off the coast of New York and the New England states.
  • Represented Frontier Communications in its $1.6 billion offering of fiber network revenue notes.
  • Represented Regeneron in acquisition of 2seventy Bio, Inc.’s platforms to form new R&D unit Regeneron Cell Medicines.
  • Represented Ginkgo Bioworks in connection with its acquisitions of Zymergen and Metabiota.
  • Represented Becton, Dickinson and Company in its acquisition of Parata Systems and sale of its Surgical Instrumentation platform to STERIS.
