Peter Sheffer is an associate in the litigation and enforcement practice group, where his practice focuses on complex commercial disputes, shareholder litigation, and corporate governance matters. He has represented clients in the financial services, private equity and healthcare industries in disputes in state and federal courts.

Prior to joining the firm, Peter clerked for Justice Scott L. Kafker of the Massachusetts Supreme Judicial Court. During law school, Peter served as an editor on the Boston University Law Review and was a judicial intern for Judge Lawrence E. Kahn of the U.S. District Court for the Northern District of New York.

  • Represented public company directors and officers in Delaware Court of Chancery class action challenging take-private merger and obtained dismissal with prejudice of all of claims on motion to dismiss.
  • Advised and represented investment manager in international insurance and restructuring dispute.
  • Counsel to special purpose acquisition company (SPAC) founders and directors in class action in Delaware Court of Chancery challenging merger with online gambling company.
  • Frequently advises clients concerning litigation risk management, director and officer insurance and indemnification issues, and fiduciary duties in connection with mergers and acquisitions.
  • Represented renewable energy power producer in large-scale commercial dispute with former joint-venture partner.
  • Conducted internal investigation of private equity portfolio company regarding whistleblower allegations related to accounting practices.
  • Represented directors and stockholders in shareholder derivative and class actions challenging a multi-billion-dollar merger.
  • Represented Delaware LLC in corporate governance dispute among board members and founder regarding claims of wrongful termination and fraud.
