Brian Wisotsky is an associate in Ropes & Gray’s employment, executive compensation and employee benefits practice. Brian advises both public and private clients on a wide range of compensation and employment matters.
Brian’s transactional practice involves advising and negotiating issues related to mergers and acquisitions, divestitures, spin-offs, joint ventures and private equity transactions. Brian also assists clients in the negotiation, design and structuring of employment, equity and other incentive compensation arrangements (including stock options, stock appreciation rights, restricted stock, restricted stock units, phantom stock, performance shares and LLC/partnership interests (including profits interests), and all facets of nonqualified deferred compensation. Additionally, Brian helps public companies navigate compensation-related disclosure (including Compensation Discussion & Analysis, Form 8-K, and Section 16) and corporate governance issues (including say on pay and shareholder approval of equity incentive plans).
