He builds AI-powered workflows with and for the group, integrating directly into the deal lifecycle including diligence, drafting, and execution benchmarking. An engineer by training and a lawyer by vocation, he ensures that every tool deployed reflects the judgment of experienced practitioners.

Steven’s practice innovation work builds on a structured AI methodology he developed over years of daily practice. His system organizes AI context into layered knowledge bases – from universal principles down through practice, industry, client, and project specifics. Each layer is informative, concise, timeless, and maintained actively. No AI output reaches a client’s inbox until it is tested across multiple metrics and its underlying reasoning traced and audited.

Before joining Ropes, Steven spent eight years as a corporate and securities attorney – first at a major international law firm, then as a research scholar at Columbia Law School, then at a boutique firm where he led complex transactions and disputes. His disputes work across SDNY, Hong Kong, and the Cayman Islands sharpened his ability to structure deals that hold under unforeseen challenges.

Steven was formerly an applied math and complex systems researcher at Caltech, where his work spanned behavioral game theory, computability theory, and cell biology. He first applied his technical training to legal practice at a leading Delaware litigation firm, drafting patent motions involving biotechnology.

Capital Markets and Corporate Development

  • Managed a unicorn B2B platform’s full capital markets lifecycle – PE investment, de-SPAC listing, follow-on offerings – while navigating complex U.S.-China regulatory conflicts. Elevated the client’s investor base from boutique hedge funds to index funds.*
  • Won a client relationship by helping the SEC staff understand the nuances of the client’s novel carbon-neutral maritime technology. Used World Bank data to clear up the SEC’s misunderstanding. Built the new industry disclosure framework with SEC staff.*
  • Rescued an NYSE-listed company from simultaneous delisting, loan defaults, and a hostile founder. Structured and executed four transactions in twelve days. Market cap quadrupled.*
  • Guided a Nasdaq-listed company through serial business pivots – interactive learning, digital assets, commodities, AI – structuring compliant disclosures and capital raises at each stage.*
  • Drove a de-SPAC merger for a digital brand management platform, restructuring the counterparty’s deal team mid-transaction and negotiating PE exits at client-favorable terms.*

Stakeholder Disputes and Corporate Defense

  • Defeated a three-year hostile takeover campaign by a major Asia-based investment fund against a leading pharmacy chain. Structured successive capital raises that diluted the fund seven-fold despite its irrevocable control rights. Neutralized a subsequent Cayman dissolution suit and a disguised vicarious takeover attempt.*
  • In multi-million-dollar SDNY SPAC warrant litigation, defeated a professional plaintiff with serial victories in such SDNY cases. Crafted textual and policy argument for successful motions to dismiss on all material counts.*
  • Engineered a favorable settlement in an SDNY contract dispute without using contested facts. Extended the timeline for the client by over a year through hyper-textualist contract arguments.*
  • Justified a state-backed investor’s 25x premium investment in a digital map company client to Nasdaq, resolving delisting and market manipulation inquiries.*
