Overview

Ropes & Gray’s Israel practice draws on the resources of a major global law firm with industry-leading private equity, technology, life sciences, financial services, intellectual property, venture capital, tax, and mergers and acquisitions (M&A) practices. Our Israeli team members have the passion and experience required for our result-driven representation of Israeli companies.

We act as counsel to Israeli entities on U.S. or multinational capital markets and fund formation. We counsel Israeli companies in the software, telecommunications, biotechnology, medical device, electronics, defense, Internet, industrial and financial sectors. We represent U.S. and European private equity and venture capital funds in their Israeli acquisitions and investments. We assist U.S. and European companies in their transactions with Israeli businesses, including licensing, strategic alliances, intellectual property litigation and commercialization, and M&A.

Several of our attorneys transact business in Hebrew and have worked both in the United States and Israel. Our attorneys work closely with leading Israeli law firms and are familiar with the challenges presented by U.S.-Israeli business transactions. We routinely organize or speak at leading technology, life sciences, and legal conferences in Israel and have been featured in the Israeli press.

  • TPG Growth in its $150 million investment in Israel-based enterprise storage solutions maker Infinidat LTD.
  • Altice VII, the owners of a number of cable companies in Europe, Africa and the Caribbean, in the financing of its taking private transaction of Tel Aviv Stock Exchange traded Hot Telecommunications Systems Ltd. 
  • TPG Growth in its acquisition of iMDsoft, a worldwide leader in high-acuity clinical information systems based in Tel Aviv. 
  • Stryker Corporation in the negotiation of a licensing and funding arrangement with ActiViews, an Israeli medical device company, for rights to ActiViews’ navigational technology. 
  • Pfizer in its strategic alliance with Protalix Biotherapeutics. 
  • One of America’s leading university endowments and a major U.S. investment bank in Israel-focused fund work and structuring of their investment to maximize after-tax returns. 
  • Israeli fund interests in forming international and Israeli private equity funds. 
  • Israeli investment managers and their managed funds on a variety of formation, structuring and compliance matters relating to investments by U.S. taxable and tax-exempt investors. 
  • Electric Fuel (Arotech) in its IPO and follow-on offering.

  • Accelmed Medical Partners LP in U.S. transcatheter technology development investment in ValCare, Inc., a spinoff of MiCardia Corporation. 
  • Saifun Semiconductors in litigation with AMD and Fujitsu, leading to a patent license under which Saifun obtained license fees from AMD and Fujitsu. 
  • Given Imaging in litigation against Olympus involving the parties’ patents and products relating to gastrointestinal pill imaging.
