ANTI-CORRUPTION

With former federal prosecutors and enforcement attorneys at the U.S. Department of Justice and the Securities and Exchange Commission, we have handled more than 90 matters over the past five years, including investigations and diligence matters in Anguilla, Argentina, Brazil, Chile, Colombia, Costa Rica, Cuba, Dominican Republic, Ecuador, El Salvador, Mexico, Panama, Peru and Puerto Rico.

GOVERNMENT ENFORCEMENT

With veterans of the U.S. Department of Justice and the Federal Trade Commission, our team offers representation to Latin American clients concerning all antitrust matters, including business arrangements; interactions with suppliers, customers and competitors; and the litigation of patent-antitrust and price-fixing class actions.

  • Our recent experience in the region includes: 

    • Serving as asset manager fund counsel, advising on structuring, documentation drafting, placement, subscription review and tax issues relating to the formation of real estate funds in Latin America.
    • Representation of leading fixed-income fund manager in the development of new fund offerings targeted at retail and institutional investors in Brazil.
    • Helping Liberty Cablevision of Puerto Rico (LCPR) obtain an aggregate $715 million of first lien and second lien credit facilities for the refinancing of LCPR’s existing credit facilities. In June of 2015, Ropes & Gray again assisted LCPR in obtaining an aggregate $267.5 million of incremental credit facilities for LCPR’s acquisition of Choice Cable.
    • Representing Centerbridge Partners and Monarch Capital in the $1.4 billion sale of Satélites Mexicanos (SatMex), a leading provider of fixed satellite services in Mexico, to Eutelsat Communications, which has operations in Brazil.
    • Advising several multinational companies with operations in Latin America with respect to investigations conducted by the DOJ, SEC and other foreign regulators into potential violations of FCPA regulations and in the implementation of compliance programs.
    • Representing a multinational medical device manufacturer with respect to DOJ and SEC investigations alleging improprieties by the company’s employees in Brazil and Mexico.
    • Anti-corruption-related due diligence concerning potential investments throughout Latin America.
    • IPO representation, including the arrangement of share-for-share exchanges.
    • Pre-transaction due diligence, including policy design and warranties, related to private equity investments in Latin America.
    • Representation of current and former senior executives in connection with FCPA investigations involving activities in Latin America; in the case of a Chinese subsidiary of a U.S.-listed cosmetics company facing a DOJ and SEC investigation involving possible FCPA violations in China, the investigation’s scope has broadened to include possible bribes paid by company officials in Brazil, Mexico and Argentina.
