Daniel Andrews is counsel in London and is a member of Ropes & Gray’s special situations practice group. Daniel is also qualified in Hong Kong and recently completed a secondment to Ropes & Gray’s Hong Kong office, including a secondment to the KKR Credit legal team in Hong Kong.

Daniel has broad banking and finance related experience, with a focus on acting for stakeholders in financial restructuring cases. Daniel has experience advising on debt and equity instruments from a sponsor, debtor and creditor perspective, including in relation to transactional restructurings, distressed investments (control and non-control), and new money lending.

Experience

  • Advising KKR Credit in relation to the restructuring of its debt and equity investments in a manufacturing group primarily based in India
  • Advising Ashmore and Value Partners as ad hoc committee of the holders of the notes of Mongolian Mining Corporation in relation to its financial restructuring, implemented by parallel Hong Kong and Cayman Islands schemes of arrangement (IFLR Asia Restructuring Deal of the Year 2017 and IFR Asia Restructuring Deal of the Year 2017)
  • Acting for Highbridge, KKR Credit and Bain Capital Credit as ad hoc committee of Senior Unsecured Noteholders of Towergate Insurance in connection with its financial restructuring, implemented by parallel schemes of arrangement in the UK
  • Acting for DE Shaw, BFAM Partners and OCP Asia as ad hoc committee of bondholders of LDK Solar Co. in connection with its financial restructuring, implemented by parallel Hong Kong and Cayman Islands schemes of arrangement (Asian Lawyer Restructuring Deal of the Year, 2015)
  • Acting for the sponsor on the acquisition of the distressed £205m Invista Real Estate portfolio
  • Acting for Samos Servicios y Gestiones (now Uro Property Holdings) as owner of over 1,100 retail properties let to Banco Santander in Spain in connection with the restructuring of its 2billion loan facilities
  • Acting for Anchorage Capital in connection with the acquisition of New Century Care Group, implemented by way of pre-pack administration sale in the UK
  • Advising one of the largest U.S. investment funds in relation to the distressed Pendragon portfolio of U.K. car showrooms, including:
    • the equity funded acquisition implemented by way of receivership sale followed by pre-pack administration sale in the UK
    • the arrangement of post-acquisition debt facilities to refinance the purchase price
    • the subsequent sale of the property portfolio
  • Acting for Barchester Healthcare in connection with:
    • the sale and lease-back of the “Propco 1” portfolio of 160 care homes and the repayment of £900 million of bank debt and hedging liabilities secured on the portfolio
    • the refinancing of the “Propco 2” group
    • the arrangement of a revolving facility agreement for the “Opco” group
  • Acting for Goldman Sachs European Special Situations Group and TPG Sixth Street Partners in connection with their joint acquisition of the Cooper Portfolio from Lloyds Banking Group
