Madeline Cooper is an associate in the firm's employment, executive compensation and employee benefits group. Madeline advises a wide variety of clients with respect to executive compensation, employment and benefits matters arising in corporate transactions, including mergers, acquisitions, dispositions, and other strategic transactions.Madeline remains integrally involved with clients after a transaction closes, advising on the design and implementation of incentive equity, deferred compensation, employment and severance plans and arrangements.

Madeline counsels companies on complying with the US Internal Revenue Code, ERISA, the Affordable Care Act, and other state and federal laws pertaining to benefit plans and programs, including Sections 83, 280G, 401 and 409A of the Internal Revenue Code. Prior to becoming an associate, Madeline was a consultant with the Ropes & Gray benefits consulting group, which allows Madeline to provide clients with practical solutions to benefit transition and integration matters that arise in connection with corporation transactions.

  • Advised BV Investment Partners in connection with its acquisition of Intelliteach, a leading global provider of tech-enabled business process outsourcing solutions for law and accounting firms, from Dominus Capital, L.P.
  • Represented BV Investment Partners in its strategic minority investment partnership with CivicPlus, the integrated technology platform for local government.
  • Represented a private equity firm in connection with its acquisition of a multi-site owner, operator and business partner to veterinarians. 
  • Represented Paulson & Co. Inc. and TriArtisan Capital Advisors LLC in connection with its acquisition of P.F. Chang's China Bistro, Inc. from Centerbridge Partners, L.P.
