Ropes & Gray represented Silver Lake Partners in its definitive agreement together with Thoma Bravo, LLC to acquire SolarWinds, in a transaction valued at $60.10 per share or approximately $4.5 billion. Based in Austin, Tex., SolarWinds provides powerful and affordable hybrid IT infrastructure management software to customers worldwide, from Fortune 500 enterprises to small businesses, government agencies and educational institutions.
The transaction, announced Oct. 21, is expected to close in the first calendar quarter of 2016 and is subject to approval by SolarWinds stockholders, regulatory approvals and other customary closing conditions.
The Ropes & Gray team was led by private equity partner Alfred Rose (Boston) and included finance partner Byung Choi (Boston) and private equity associate Eric Issadore (San Francisco).
