Ropes & Gray advised Multi Packaging Solutions International Limited (MPS), a leading global provider of print-based specialty packaging solutions, in the proposed acquisition of MPS by WestRock Company, one of the world’s leading providers of paper and packaging solutions. WestRock will acquire all of the outstanding shares of MPS for $18 per share in cash and will assume an estimated $873 million of MPS net debt, for a total transaction value of $2.28 billion.
The transaction, announced on Jan. 24, will be financed through a combination of cash on hand and existing credit facilities. It is expected to close in WestRock’s third quarter fiscal 2017, subject to applicable regulatory approvals and other customary closing conditions.
