Deidre Johnson Discusses FTC’s New Antitrust Merger Review Rules in Bloomberg

The Federal Trade Commission (FTC) announced revised reporting thresholds and a revised filing fee schedule under the Hart-Scott-Rodino (HSR) Antitrust Improvements Act of 1976. For 2024, the size-of transaction threshold for reporting transactions increased from $111.4 million to $119.5 million.

In an article published by Bloomberg Law, antitrust counsel and head of the firm’s premerger notification practice Deidre Johnson said the revisions to the antitrust review threshold and filing fees are in line with shifting gross national product.

The FTC is also expected to implement additional premerger notification rule changes and amendments to the HSR form that would dramatically increase the amount and type of information required for all filers.

“It’s the first really major reform of the HSR rules and regulations, so we expect something pretty material in terms of changes,” Deidre said.
