Ropes & Gray represented Simple Mills in a definitive agreement to sell the company to Flowers Foods, Inc. (NYSE: FLO) for $795 million in cash. The acquisition was announced on Jan. 8 in a press release.
Simple Mills is a market-leading natural brand offering premium better-for-you crackers, cookies, snack bars, and baking mixes.
The deal team was led by M&A partners Jackie Cohen and Stephanie Lapidus and counsel Tyler Silvey, and included IP transactions partner Erica Han, tax partner Scott Pinarchick, antitrust partner Samer Musallam, executive compensation & employee benefits partners Renata Ferrari and Kyle Higley, employment partner Richard Kidd, litigation & enforcement partner Rocky Tsai, real estate partner Sally Davis, finance partner Dan Coyne, and environmental partner Peter Alpert.
