Ropes & Gray Represented Veradermics in Upsized Public Offering and Private Placement

Ropes & Gray represented Veradermics, Incorporated in its upsized public offering and concurrent private placement to raise approximately $414.4 million after expenses. The offering and private placement were announced in an April 29 press release and closed on May 1. The gross proceeds from the public offering are expected to be approximately $384.4 million.

Veradermics also has entered into a securities purchase agreement, pursuant to which Veradermics is selling an aggregate of 300,000 pre-funded warrants, at a price of $99.99999 per share. The gross proceeds from the private placement are expected to be approximately $30 million.

Ropes & Gray also represented Veradermics in its initial public offering in February 2026.

Veradermics is a dermatologist-founded, late clinical-stage biopharmaceutical company focused on developing innovative therapeutics to address pervasive treatment challenges in highly prevalent aesthetic and dermatological conditions, including a non-hormonal treatment for men and women with pattern hair loss.
