Ropes & Gray represented Madison Dearborn Partners LLC and its portfolio company Multi Packaging Solutions, Inc. (MPS), in the merger of MPS with Chesapeake Services Ltd., a print-based specialty packaging company and a portfolio company of The Carlyle Group. The merger of equals will create a combined company with annual sales exceeding $1.4 billion.
MPS specializes in the production of print-based specialty packaging, including cartons, labels and inserts, in the United States and Canada. Chesapeake focuses on manufacturing cartons, leaflets, labels and specialized packaging for various industries in the United States, Europe and China.
The merger is expected to close in the first quarter of 2014.
Private equity partner Matthew Richards led the Ropes & Gray transaction team, which also included partners Alex Zeltser, Eric Elfman, Renata Ferrari and Bill Mone.
