Torrey McClary and Ranee Adipat Author Chapter in Health Law Watch Annual AHLA Book
Health care partner Torrey McClary and counsel Ranee Adipat (both of San Francisco) co-authored a chapter for the 2021 annual reference book Health Law Watch published by American Health Law Association titled “Corporate and Transactional Considerations for Health Care Entities in Financial Distress.”
The COVID-19 pandemic accelerated change in health care delivery, regulation and financial and operational performance, creating challenges and opportunities for providers seeking combinations and other strategic relationships. The chapter provides an overview of transactions involving distressed health care entities, focusing on key issues and terms, negotiation priorities and strategy, deal structure and documentation, bankruptcy considerations and processes, and recommendations and best practices for achieving a successful outcome.
