Ropes & Gray’s Global Private Funds Team Grows Again with Arrival of Matthew Holt

Matthew Holt, whose practice focuses on private fund formations, has joined Ropes & Gray’s global asset management practice as counsel, based in Washington, D.C. 

Matt’s practice focuses on sponsor-side fund formation work across a diverse range of open-end and closed-end fund products, including private funds, managed accounts and co-investment vehicles. The funds he has advised operate in the U.S., Europe and Asia and comprise private equity, credit, energy, infrastructure, real estate, fund of funds, co-investment and venture capital funds. 

Matt is experienced in managing all aspects of the fund formation process, including drafting offering and governing documents, conducting investor negotiations, navigating U.S. and global regulatory compliance and implementing tax-efficient sponsor ownership and control structures.

Matt also assists private equity firms in connection with daily operations, registered investment adviser and broker-dealer compliance matters, portfolio investment transactions and sponsor-level strategic sales and acquisitions. 

Among his accomplishments, Matt’s experience includes advising a private fund sponsor on the formation of a $1.2 billion private fund investing in pre-IPO late-stage technology companies; and the formation of a US open-end fund investing primarily in equity securities listed on global stock exchanges, among others.
