Kwame Adzatia is an associate in the banking and finance department of Ropes & Gray's London office.

Kwame’s background and experience spans complex cross-border general banking, acquisition financing, leveraged finance, alternative credit as well as asset-based lending transactions. Kwame regularly advises leading global private equity sponsors, international corporate borrowers and financial institutions, private credit lenders and family offices on a broad range of debt capital structures in the European mid-cap and large-cap markets.

Sponsor and Borrower Representations

  • Advised private equity firm Lee Equity Partners on its strategic partnership investment into Arcadian Risk Capital, a fast-growing, specialty managing general agent with operations in Bermuda, Ireland, the UK, and the US
  • Represented Stellex Capital Management in connection with the full refinancing of the acquisition financing of its portfolio company, MSS International, together with an associated corporate reorganisation. The third party term and delayed draw facilities were provided by NorthWall Capital.
  • Represented Virgin Media O2 on the debt financing arrangements in connection with the creation of a new B2B company, combining the direct B2B operations of Virgin Media O2 with Daisy Group
  • Advised New York-based private equity firm American Industrial Partners on the financing supporting the acquisition of FSV Group AS by its existing portfolio company Aquaship | Intership to create a global leader in the aquaculture services industry, Trident Aqua Services
  • Advising TSG Consumer Partners on the full refinancing of an existing unitranche/super senior RCF financing in connection with its acquisition of Cadogan Tate (a premium business specialising in moving, storage, and relocation services for fine art, antiques and high-value items)
  • Advised Tillman FiberCo, LLC, a leading developer of open-access fiber infrastructure, on its $815 million committed debt financing with a syndicate of international banks to support the deployment of fiber-to-the-home networks throughout Florida.
  • Advising TPG on the financing arrangements for its Italian portfolio company, Musixmatch
  • Acting for Stellex Capital Management in connection with its platform investment in and acquisition of each of Bryden Capital Limited and MSS Products Holdings Limited
  • Advising INEOS Company Holdings Limited in connection with its acquisition of 50% of the equity interests in Shanghai SECCO Petrochemical Co., Ltd., a subsidiary of SINOPEC
  • Advising Interserve Group Limited on the separation of its Tilbury Douglas construction division as part of the wider reorganisation and restructuring of the Interserve group
  • Advising Diageo plc on the refinancing of its suite of backstop bilateral facilities with various international banks, including Banco Santander S.A., Credit Suisse AG, Goldmans Sachs Bank USA, Morgan Stanley Bank N.A. and Royal Bank of Canada
  • Advising multinational energy and commodity trading company Vitol SA in connection with its revolving credit facilities
  • Advising Finnish-listed forestry company UPM-Kymmene Oyj in connection with its liquidity financing arrangements with a syndicate of international banks 
  • Acting for an affiliate of a corporate borrower on various private margin loan facilities

  • Advised Goldman Sachs, Jefferies and Mizuho on all the financing elements of Outbrain’s acquisition of Teads, which consisted of a $625 million funded bridge facility, a $100 million revolving credit facility, and issuance of $637.5 million of 10.000% senior secured notes due 2030, which was used to refinance the bridge facility
  • Advising Barings on the senior financing package supporting the recommended cash offer for Blancco Technology Group plc by Francisco Partners
  • Advised Barings on the financing package supporting the acquisition of Aspia by Vitruvian Partners
  • Advising Banque Palatine on the financing package for the acquisition of train sim developer and publisher Railsimulator.com Limited by one of Europe's leading video game developers and publishers, Focus Entertainment
  • Advising Capital One Healthcare, N.A. on financing the acquisition of a European home healthcare business by an international private equity sponsor
  • Advising a leading private credit fund on commitment papers supporting a sponsor's bid for a Norwegian biotech and pharmaceuticals company
  • Advising Highbridge Capital Management, LLC on providing the second lien financing for the acquisition of an Israeli-based telematics data management company
  • Advising Wells Fargo Bank, N.A. on its ongoing receivable financing arrangements with various debtors
