Madeline Cooper is an associate in the firm's employment, executive compensation and employee benefits group. Madeline advises a wide variety of clients with respect to executive compensation, employment and benefits matters arising in corporate transactions, including mergers, acquisitions, dispositions, and other strategic transactions.Madeline remains integrally involved with clients after a transaction closes, advising on the design and implementation of incentive equity, deferred compensation, employment and severance plans and arrangements.

Madeline counsels companies on complying with the US Internal Revenue Code, ERISA, the Affordable Care Act, and other state and federal laws pertaining to benefit plans and programs, including Sections 83, 280G, 401 and 409A of the Internal Revenue Code. Prior to becoming an associate, Madeline was a consultant with the Ropes & Gray benefits consulting group, which allows Madeline to provide clients with practical solutions to benefit transition and integration matters that arise in connection with corporation transactions.

  • Represented EQT alongside CPP Investments in their acquisition of NeoGov, a human capital management and public safety solutions provider, from Warburg Pincus and Carlyle.
  • Represented EQT Private Capital Asia on its agreement to acquire PropertyGuru Group Limited from its public shareholders in a take-private transaction.
  • Represented The Vistria Group in its acquisition of Ora Clinical, a global ophthalmic contract research organization.
  • Represented GHO Capital Partners and Ampersand Capital Partners in the acquisition of Avid Bioservices.
  • Represented GHO Capital Partners and Vistria Group in their joint acquisition of Alcami, a pharmaceutical contract development and manufacturing organization, from Madison Dearborn Partners.
  • Represented Commonwealth Financial Network, an independently owned wealth management firm, in its sale to LPL Financial Holdings.
  • Represented New Mountain Capital in its acquisition of Consor Engineers, a transportation and water infrastructure consulting firm.
  • Represented New Mountain Capital in its investment (alongside Francisco Partners) in Office Ally, a healthcare technology company offering cloud-based solutions, including an EHR (Electronic Health Record) system, practice management software, a clearinghouse for claims and eligibility, and revenue cycle management tools.
