Ryan Dahan is a partner in the tax practice group resident in the New York office. He counsels a diverse range of domestic and international clients on complex tax matters, with a core focus on advising sponsors and investment managers in connection with the formation, operation and portfolio transactions of private equity funds, credit funds and other alternative investment vehicles.

Ryan has developed particular depth representing credit-focused investment managers navigating the tax dimensions of a wide array of credit strategies, including direct lending, litigation finance, trade claims, distressed debt, nonperforming loans, debtor-in-possession financing, structured credit and synthetic risk transfers. He regularly structures open-end, closed-end, evergreen and hybrid fund products, and advises on sponsor, investor and management company arrangements, including carried interest, co-investment structures and GP stakes transactions.

Ryan also brings significant experience advising on innovative capital solutions in situations where flexibility, creativity and execution certainty are crucial. He advises on preferred and structured equity, convertible securities and other strategic capital solutions used to support acquisitions and financial restructuring matters, including both in-court and out-of-court proceedings, liability management transactions and creditor-side reorganizations.

Prior to joining Ropes & Gray, Ryan spent more than a decade advising leading investment managers and sponsors on fund formation, transactional and restructuring tax matters.
