Vincent Ip is the managing partner of Ropes & Gray’s Hong Kong office and a partner in the firm’s asset management and alternative asset opportunities groups. As a U.S.-trained private funds lawyer based in Asia for over 15 years, Vincent advises leading global asset managers, private equity sponsors and sovereign wealth funds on fund formation, investments and secondary transactions. He is widely recognized for counseling on all aspects of the private funds lifecycle, with particular focus on structuring, launching and operating Asia-focused private equity, venture capital, real estate, infrastructure, secondaries, private credit and special situations funds, as well as funds of funds and separate accounts.

Ranked by Chambers Global and Chambers Asia-Pacific for investment funds and recognized by Law360 as a “Rising Star” in Fund Formation, Vincent is a go-to advisor for both emerging and established sponsors throughout the Asia-Pacific region. He regularly guides clients on GP, management company and fund structuring; governance and economics; fund marketing and fundraising; and securities law and compliance. His practice spans buyout and growth strategies, venture platforms and sector-focused funds, and he frequently advises on anchor and strategic investor arrangements, and manager-led solutions designed to meet evolving investor and market demands.

Vincent also represents some of the world’s largest institutional investors in their investments in private funds of all types, as well as bespoke SMAs and co-investments. His secondaries practice covers both traditional portfolio sales and structured secondary transactions, including complex, highly negotiated processes for concentrated portfolios. He has advised on market-significant deals, including representing a major sovereign fund in one of the largest-ever secondary sales of private fund interests, and representing the lead buyers on one of the largest single-asset GP-led recapitalizations in Asia to date.
