Elizabeth Madsen is an associate in the corporate department and a member of the firm’s asset management group. Elizabeth focuses her practice on representing registered investment companies, including mutual funds, ETFs and closed-end funds, their independent directors and investment advisers regarding regulatory, transactional and compliance matters. She advises on Investment Company Act of 1940 issues, federal securities law compliance, and SEC filings such as registration statements, shareholder reports, and proxy statements.
Elizabeth partners with clients to launch innovative products, including digital asset and autocallable income ETF offerings. She also assists clients in launching registered funds focused on alternative strategies, such as interval funds and tender offer funds investing in private funds, real assets and venture capital. Elizabeth has extensive listed closed-end fund experience, representing issuers in closed-end fund initial public offerings and with respect to at-the-market and preferred share offerings.
