Leveraged Buyouts, Carve-Outs, and Sale Processes

  • Represented Lee Equity Partners and its portfolio company Atria Wealth Solutions, a wealth management solutions holding company and operator of a network of independent broker-dealers, in its pending sale to LPL Financial.
  • Represented Sixth Street Partners-backed Legends in connection with its acquisition and related financing of ASM Global, a venue management company and producer of live event experiences.
  • Represented Baupost Group on its disposal of a portfolio of joint venture and securitized oil and gas assets.
  • Represented H.I.G. Capital and its portfolio companies in a number of transactions, including the acquisition of Brooks Equipment Company, a provider of critical fire life safety solutions; the acquisition of Time Manufacturing, a global manufacturer of vehicle-mounted aerial lifts; and the acquisition of North America Central School Bus, a leading student transportation provider.
  • Represented The Jordan Company in its acquisition of Arclin, a chemistry-based provider of highly technical, engineered products for the residential building products market and other industries.
  • Represented Harvest Partners in its sale of Lazer Logistics to EQT Infrastructure.
  • Represented American Industrial Partners on its take-private acquisition of Boart Longyear, a publicly listed global drilling services company.
  • Represented Harvest Partners and its portfolio company Galway Insurance in the add-on acquisition of MAI Capital Management, a registered investment adviser.
  • Represented [solidcore], a national network of fitness studios providing targeted strength training on custom-built reformers, in its sale to investment firm L Catterton.

Distressed M&A and Bankruptcy

  • Represented Hooters of America, LLC, an iconic casual dining and sports entertainment chain, and its affiliated debtors in their pending chapter 11 cases involving the restructuring of funded debt and the sale of its assets to a group of current franchisees, including Hooters Inc., the originator of the brand, and Hoot Owl Restaurants.
  • Represented an ad hoc group of prepetition bondholders in connection with the chapter 11 restructuring and section 363 sale of Biora Therapeutics, a biotechnology company.
