Jacob Schwartz joined Ropes & Gray in 2019 and is an environmental law associate in the real estate group.

Jacob’s practice covers a broad range of environmental matters, including advising private equity, strategic, and health care clients on the environmental issues that arise in the context of merger and acquisition transactions; environmental regulation including air, water, hazardous waste, waste site cleanup, and regulation of toxic substances and pesticides; investigation and remediation of contaminated land under state and federal superfund laws; and representation of clients in environmental regulatory enforcement and state and federal superfund proceedings.

In addition to representing institutional and private clients, Jacob maintains an active pro bono practice, primarily including representation of clients seeking asylum in the United States.

  • Represented American Industrial Partners in its:
    • acquisition of the architectural paints and coatings business from PPG, and AIP’s sale of the specialty coatings business
    • acquisition of the sulfuric acid processing and recycling division from Veolia
    • acquisition of Austin Powder, an international gunpowder manufacturer.
  • Represented Nippon Steel Corp. in its acquisition of the US Steel Corporation.
  • Represented Genstar Capital in various acquisitions for its medical device and consumer packaging platform.
  • Represented H.I.G. Capital, LLC in various industrial transactions, including its acquisition of Pixelle Specialty Solutions, a national specialty paper manufacturer, and its sale of Pixelle Specialty Solutions’ Stevens Point manufacturing facility.
  • Represented TriArtisan Capital Advisors in its investment in Denny’s Corp.
  • Represented Bain Capital in its:
    • acquisition of Aerospace Technologies Group, a manufacturer of airplane interior fixtures.
    • acquisition of Service Logic, a leader in comprehensive commercial HVAC and building automation service.
  • Represented numerous large regional hospital systems and one city corporation in acquisitions of or affiliations with other local or regional hospital systems.
  • Advised clients in various industries on impact of evolving per- and polyfluoroalkyl substance (PFAS) emerging contaminant regulations on their business, and how to comply with reporting requirements and chemical restrictions.
  • Advised real estate teams on environmental risks associated with acquisition or development of multi-family residential, commercial, and industrial properties, and negotiation of PSAs and leases to limit environmental liability.
  • Represented a large ice manufacturing company with respect to several environmental regulatory enforcement matters arising from alleged releases of hazardous materials and alleged non-compliance with environmental laws.
