Kendall is an associate in Ropes & Gray’s health care group. She provides transactional, regulatory, and compliance advice to a broad range of health care clients, including hospitals, health systems, educational institutions, pharmaceutical and medical device manufacturers, and other health care providers and organizations. In addition, Kendall practices in Ropes & Gray’s public finance practice, where she has served as borrower’s counsel and bond counsel in connection with tax-exempt and taxable, public and private financing transactions for health systems and higher education institutions.

Prior to law school, Kendall worked at an intellectual property law firm outside of Boston, working primarily with clients in the health care industry. While at Northeastern University Law School, Kendall worked in the in-house legal department of a Medicare Advantage organization. Kendall also served as a student attorney in the Public Health Advocacy Clinic.

Experience

  • Provides pharmaceutical companies with in-depth review and strategic advice regarding drug pricing and compliance with government price reporting requirements under Medicare Part B, the Medicaid Drug Rebate Program, 340B Drug Pricing Program, and the Veterans Health Care Act, including through interpretation of applicable laws and guidance and development of policies and procedures.
  • Advises hospital and health systems as well as higher education institutions in connection with strategic transactions, including mergers, member substitutions, joint ventures, and other affiliations.
  • Participated in more than $2 billion in various bond offerings, direct purchases, and private placements for health systems and higher education institutions in California, Massachusetts, New York, Pennsylvania, and Rhode Island, as borrower’s and bond counsel.
  • Provides strategic counsel on health care transactions, including private equity health care transactions, advising clients on compliance with emerging state laws governing competition, quality, access, and cost.  
  • Assists with preparation and submission of extensive regulatory and licensure change of ownership filings in connection with complex transactions.
