Jonathan Upchurch is an associate in the firm's asset management group. Jonathan represents registered investment companies (including mutual funds, ETFs, and closed-end funds), their investment advisers, and independent trustees in regulatory, transactional, and compliance matters arising under the Investment Company Act of 1940 and related federal securities laws.

His practice encompasses fund formation and SEC registration, ongoing regulatory compliance, and day-to-day operational matters across the full lifecycle of registered fund products. He advises on board governance, fund disclosure obligations, and the structuring and launch of new registered investment products. Jonathan also counsels clients on fund reorganizations, mergers, and liquidations.

Prior to joining the firm, Jonathan worked as a lawyer at a maritime law firm in Boston, Massachusetts, where he represented vessel owners and maritime businesses in both state and federal courts. He received his J.D. from Boston University School of Law.
