Charlie is an associate in the Ropes & Gray tax and benefits group in London. He has experience advising on a broad range of UK and international tax matters. Charlie provides advice on the tax aspects of private capital transactions, including cross-border acquisitions, private investment fund formation and investment, financing and real estate transactions.
Charlie’s clients have included institutional investors, private equity fund managers and multinational corporations. He has also spent time on secondment at a large sovereign wealth fund providing tax advice on a range of private markets transactions.
Experience
- Advises various European and Asian and sovereign and institutional investors on their primary, co-investment and secondaries programs.
- Advised Bridgepoint on its acquisition of Fera Science, a national and international centre of excellence for interdisciplinary investigation and problem solving across plant and bee health, crop protection, sustainable agriculture, food and feed quality and chemical safety in the environment
- Advised Partners Group, acting on behalf of its clients, on the agreement to invest in Exus, a leading European infrastructure asset management firm focused on the renewable energy sector. Partners Group plans to commit up to EUR 1 billion in growth capital
- Advised funds affiliated with Baring Private Equity Asia on:
- the acquisition of IGT Solutions, formerly InterGlobe Technologies, from an affiliate of Apollo Global Management
- US$1 billion+ acquisition of Lumenis, the Israeli-headquartered global leader in the field of minimally-invasive clinical solutions for the aesthetic, surgical and ophthalmology specialties
- Acting for GHO Capital Partners on its acquisition (alongside the existing Envision management team and employees) of a majority stake in Envision Pharma Group, a leading technology-enabled scientific communications company
- Advised Brookfield, alongside its operator and manager, Copley Point Capital, on a £125 million JV recapitalization of three big-box distribution warehouses from Tritax Big Box REIT
- Advised Intermediate Capital Group on its investment in Travel Chapter, one of the UK’s leading holiday rental platforms, supporting the sale of the company to its management team from private equity firm ECI Partners
- Advised Avista Capital Partners on its joint acquisition with VHC Investco of Vision Healthcare, one of Europe’s fastest-growing omni-channel and direct-to-consumer health care companies
- Advised Virgin Media and O2 on its £5.7 billion-equivalent bond and loan secured financing following its joint venture combination.
