Securitization & Structured Finance

Issuers, sponsors, underwriters and asset managers across industries turn to Ropes & Gray to design and execute alternative financing solutions.

Overview

Our securitization and structured finance practice is consistently ranked among the world’s best, and has received practice-wide and individual lawyer recognition in Chambers USA, The Legal 500, and U.S. News. Our lawyers are known for their expertise in asset-backed securitization transactions that are backed by alternative assets, and in particular for their experience in whole-business securitization (WBS) and digital infrastructure ABS transactions. Stemming from our groundbreaking work on the original 2006 Dunkin’ Brands whole-business securitization, Ropes attorneys advise issuers, private equity sponsors and investment banks on a large proportion of the WBS transactions in the market every year. Our lawyers have also represented the issuers in connection with the design and successful offering of two of the largest fiber-to-the-premises ABS transactions in history, for Altice USA and Frontier Communications.

Our lawyers have experience advising clients in a broad range of structured finance transactions, including:

  • Whole-business securitizations
  • Fiber broadband, tower and other digital infrastructure asset securitizations
  • Media, entertainment, biopharma, and other IP royalty-backed securitizations
  • Stranded cost securitizations
  • Collateralized fund obligations and structured feeder funds
  • Trade receivables securitizations
  • Other financings backed by “esoteric” assets
