Ropes & Gray Advises Green Mountain Coffee Roasters on Sale of Filterfresh to ARAMARK

A Ropes & Gray team is representing Green Mountain Coffee Roasters in the planned $145 million sale of its Filterfresh business to ARAMARK, a leading provider of office coffee and refreshment services.

ARAMARK will acquire all outstanding shares of Van Houtte USA Holdings Inc., also known as the Van Houtte U.S. Coffee Service business, or “Filterfresh,” from Green Mountain Coffee Roasters. The planned sale, announced Aug. 29, is subject to regulatory approval, and the final purchase price may be adjusted depending on Filterfresh’s working capital and indebtedness immediately before closing.

The Ropes & Gray team advising Green Mountain Coffee Roasters was led by Boston-based mergers & acquisitions partner Jane Goldstein and included associate Taylor Hart.

Green Mountain Coffee Roasters, recognized for its award-winning coffees and innovative Keurig® Single-Cup brewing technology, has been a longtime Ropes & Gray client. In the past year, Ropes & Gray has handled a number of transactions for Green Mountain Coffee Roasters, including a licensing agreement with Starbucks to produce a line of single-serve coffee containers for use in its Keurig machines and the CDN $915 million purchase of Canadian gourmet coffee roaster Van Houtte from its private equity owner Littlejohn.
