Ropes & Gray has advised longstanding client Liberty Global plc and its investment vehicle in connection with the financing of its acquisition of All3Media, which closed Sept. 23.
Liberty Global and its investment vehicle, jointly owned with Discovery Communications, Inc., purchased 100 percent of the shares of All3Media, which will remain an independently managed global television production company.
All3Media is a leading global content creator and distributor of award-winning television programs. The All3Media group consists of 19 production companies across Europe and the United States, and was previously owned by its founders and the Permira funds.
Liberty Global is the largest international cable company and operates across 14 countries. Its consumer brands include Virgin Media, UPC, Telenet and VTR. Discovery Communications is the world’s number one pay-TV programmer, with 2.7 billion subscribers in more than 220 countries and territories.
The London-based Ropes & Gray team included associates Alexander Robb and Samantha Morby. The team advised on all aspects of the acquisition financing, and also in connection with the refinancing of All3Media’s existing debt (senior and mezzanine) prior to closing.
