Ropes & Gray advised VSS-Southern Theatres, LLC, a portfolio company of private equity firm Veronis Suhler Stevenson, in the sale of Movie Tavern to Marcus Theatres, a division of The Marcus Corporation. The purchase price is valued at approximately $126 million, comprised of $30 million in cash and 2,450,000 shares of The Marcus Corporation common stock, subject to certain lock-up restrictions. The transaction, announced on Nov. 2, is expected to close early in the first quarter of 2019, subject to customary closing conditions.
