Ropes & Gray represented Preferred Freezer Services, a global network of state-of-the-art, temperature-controlled warehouses, in its acquisition by Lineage Logistics. The transaction, announced on Feb. 25, is expected to close in the second quarter of 2019, subject to customary closing conditions. Financial terms were not disclosed.
Lineage and Preferred have highly complementary real estate and customer bases, making their combination a strategic expansion into new markets and new service offerings. Upon closing, the combined company will feature over 1.3 billion cubic feet of temperature-controlled capacity across over 200 facilities in North America, Europe and Asia.
The Ropes & Gray team was led by private equity partner Charles Boer, tax partner Amanda Holt, benefits partner Alexandra Alperovich, litigation & enforcement partner Michael McFalls and private equity associate Daniel Cowan.
