Ropes & Gray advised Welsh, Carson, Anderson & Stowe in the formation of an innovative joint venture with Humana’s Partners in Primary Care. The venture will expand access to value-based primary care for Medicare patients and was announced on Feb. 3 in a press release.
The joint venture will develop and operate senior-focused, payor-agnostic, primary care centers, which will be managed by Humana’s wholly-owned, primary care subsidiary, Partners in Primary Care, and operated under the Partners in Primary Care brand. WCAS and Humana are making a combined commitment of $600 million to the joint venture. WCAS will have majority ownership in the new company; Humana will own a small minority stake.
The Ropes & Gray team advising Welsh, Carson, Anderson & Stowe was led by private equity partner Othon Prounis (New York), tax partner Leo Arnaboldi (New York), health care partner Tim McCrystal (Boston), asset management partner Morri Weinberg (New York), and associates Devin Cohen (Boston), and Dee Kuchukulla (New York).
