Ropes & Gray represented Anastasia Beverly Hills, an iconic cosmetics company founded by Romanian-born beauty entrepreneur Anastasia Soare out of her namesake Beverly Hills flagship salon in 1997 that creates prestige cosmetics for a passionate prosumer audience, in a comprehensive recapitalization transaction. The transaction significantly reduced the company’s debt and included a $225 million equity investment from founder, majority owner, and CEO Anastasia Soare. Following the transaction, Anastasia Soare remains the majority owner and CEO. The transaction was supported by all of the company’s key stakeholders, including 100% of the company’s lenders and minority shareholder TPG.
