Ropes & Gray Advised on KPET Ultra Paceline Corporation’s $200 Million IPO

Ropes & Gray represented Deutsche Bank Securities Inc. as underwriter and sole book running manager in KPET Ultra Paceline Corporation’s initial public offering of 20 million units at a price of $10.00 per unit. The offering closed on April 1, 2026.

The units were listed on the New York Stock Exchange (“NYSE”) and began trading under the ticker symbol “KPET.U” on March 31, 2026. Each unit consists of one Class A ordinary share and one-sixth of one redeemable warrant, with each whole warrant entitling the holder to purchase one Class A ordinary share at an exercise price of $11.50 per share. Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed on NYSE under the symbols “KPET” and “KPET.WS,” respectively.

KPET Ultra Paceline Corporation is a blank check company that was formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses.
