Ropes & Gray Advised Arca Space Capital on the Acquisition of Rogelfrut

Ropes & Gray has advised Arca Space Capital, a private equity fund established through the partnership between Arca Fondi SGR and Space Capital Advisors, on the acquisition of Rogelfrut, an Italian leader in the production and distribution of fresh and frozen fruit-based ingredients.

The transaction marks the first step in a broader industrial project to create a leading platform in the market for artisanal gelato, pastry, and food & beverage ingredients. It was executed through Rover S.r.l., a vehicle controlled by Arca Space Capital, with the reinvestment of historical shareholders Renato Bottasso and Gianpiero Boretto, who will retain a combined stake of approximately 15% in the company and continue to support its new development path.

Ropes & Gray advised Arca Space Capital with a team led by private equity partner Fabrizio Scaparro and counsel Paola Pagani, and comprising associate Carlo Grisostomi Travaglini and trainee Federica Giovannini, for corporate aspects, and counsel Niccolò Vernillo and associate Lorenzo Russo, for aspects relating to the financing.
