Ropes & Gray has advised Tillman Global Holdings ("Tillman") on the financing commitments in connection with a $1.5 billion investment, together with Bain Capital, in Eaton Fiber. The financing will support Eaton Fiber’s acquisition of Ripple Fiber and the expansion of Verizon fiber broadband through fiber network deployment across the United States. In connection with the investment, Eaton Fiber has entered into a definitive agreement to acquire Ripple Fiber, a leading 100% fiber-optic internet provider and network operator. The acquisition is the first step in Eaton Fiber's buy-and-build strategy to bring Verizon fiber broadband to over a million locations outside Verizon's current fiber footprint through organic construction and disciplined acquisitions.
The matter is the latest in a series of financings the Firm has advised Tillman on, reflecting Ropes & Gray’s growing platform representing sponsors and telecom operators on complex infrastructure-related transactions, including financing of acquisitions and securitizations.
