Ropes & Gray represented Altamont Capital Markets in the agreement with Thoma Bravo to take insurance risk exchange platform Accelerant (NYSE: ARX) private in a transaction with an enterprise value of more than $4 billion. The deal was announced on August 13 and is expected to close in the first half of 2027 pending regulatory and shareholder approvals.
Altamont, Accelerant’s largest investor, and the company’s founders, intend to retain equity ownership alongside Thoma Bravo, the terms of which will be finalized prior to closing.
Under the agreement, Accelerant Class A and Class B stockholders will receive $20.25 per share in cash, representing a 49% premium to Accelerant’s closing share price on August 12.
Altamont Capital Markets is a middle-market private equity firm focused on financial services, industrial and business services sectors. It has invested in over 50 companies and manages over $4 billion of capital.
