Antitrust
Cary Armistead is a partner in our Boston office and is Vice Chair of the Corporate Department as well as Co-Head of the International Group. Cary counsels domestic and multinational corporations regarding corporate legal matters and the antitrust laws of the United States and the competition laws of the European Union and other nations.

Bankruptcy and Business Restructuring
Don DeAmicis is a partner in our Boston office. He has extensive experience representing financial institutions, bondholder committees, purchasers, debtors, and boards of directors in domestic and cross-border work-outs and insolvencies.

Corporate/Cross-Border Transactions
Brian Erb is a partner in our San Francisco office and is a member of the Corporate Department where he specializes in the areas of corporate finance, public offerings, venture capital financing, public and private company representation, corporate governance counseling, and mergers and acquisitions.

John Reboul is a partner in our New York office. He specializes in cross-border transactions including joint ventures, mergers and acquisitions, distribution arrangements and other agreements involving many countries in Europe and Asia.

Government Relations & Regulatory
Tom Susman is a partner in our Washington, DC office, where he conducts a diverse legislative and regulatory practice. He has been active in seeking enactment of legislation, in obtaining appropriations for specific projects, in blocking or amending legislative proposals, and in counseling targets of congressional investigations. Tom's regulatory practice extends to a wide variety of matters, including freedom of information and privacy issues, health care, energy efficiency, maritime safety, and regulation of organ procurement.

Intellectual Property
Jim DeGraw is a partner in our Boston office and a member of the Fish & Neave IP Group of Ropes & Gray. He works with a wide range of clients from start-up ventures to established, publicly traded companies, to higher education institutions, addressing their intellectual property and high technology legal needs.

Litigation
Lee Gayer is counsel in our New York office and has extensive experience representing clients in a wide array of litigation matters, including general commercial, product liability/aviation, and white collar matters. Lee also has experience representing clients in class actions and other complex litigations.

Private Equity - Deal Transactions
Othon Prounis is a partner in our New York office and is Co-Head of the Private Equity Group. He concentrates in mergers and acquisitions, securities and transactional work, primarily for private equity funds and their portfolio companies.

Private Equity - Fund Formation
Bill McCormack is a partner in our New York office and is Co-Head of the Private Equity Group. His practice includes representation of numerous domestic and international private investment funds, including buy-out, venture capital, mezzanine funds and fund of funds.

Private Equity - Tax Issues
Leo Arnaboldi is a partner in our New York office and a member of the Tax Department. He works on a wide range of transactions, including mergers and acquisitions involving public and private companies, investor and company representations for venture capital and leveraged buyout financings, and issuer and underwriter representations for equity and debt offerings. Leo also concentrates on various matters relating to private equity funds, including the formation of private equity funds, the purchase and sale of secondary interests in private equity funds and the representation of placement agents of private equity funds.

Tax
Steve Shay is a partner in our Boston office. He has extensive experience in the international tax area, advising clients on issues such as foreign tax credits, deferral of U.S. taxation, foreign currency gains and losses, withholding taxes and financial product issues. Prior to joining Ropes & Gray, Stephen was the International Tax Counsel for the United States Department of the Treasury.
