Ropes & Gray Represents Becton Dickinson in Deal With Corning

Practices: Life Sciences, Intellectual Property Litigation, Tax, Antitrust

Ropes & Gray represented pharmaceutical company Becton Dickinson and Co. (BD) in their sale of the company’s Discovery Labware unit for approximately $730 million in cash to Corning Inc. The transaction, announced April 10, is expected to be completed later this year following customary approvals and closing procedures. The Discovery Labware unit of BD has an extensive product portfolio and dealer network that will play a critical role in Corning Life Sciences’ long-term growth strategy.

The Ropes & Gray team that advised BD on the deal included Boston-based securities & public companies partner Marko Zatylny, Boston-based IP transactions partners Mark Bellomy and David McIntosh, Boston-based tax partner Eric Elfman, Boston-based benefits partner Renata Ferrari and Washington, D.C.-based antitrust partner Michael McFalls and Boston-based antitrust counsel Deidre Johnson.
