Ropes & Gray represented 1Life Healthcare, Inc. (One Medical), a leading technology-powered primary care organization, as health care counsel as the company entered a definitive agreement to acquire Iora Health in an all-stock transaction valued at approximately $2.1 billion. The transaction was announced on June 7.
Iora Health is a value-based primary care group with technology focused on serving Medicare populations. Upon completion of the transaction, Iora Health shareholders are expected to own approximately 26.75% of the combined company.
The Ropes & Gray team was led by health care partner Jennifer Romig (Chicago) and included health care associates Sam Perrone and Emma Kaufman (both of Boston).
